1 Overall, Job Purpose
1.1 The Legal, Contracts and Local Content Manager is responsible for providing legal, contractual, and local content support to MODEC SENEGAL S.A.S.U within its Operations and Maintenance activities in SANGOMAR. The role ensures that contracts, operations, procurement activities, employment practices, and stakeholder engagements comply with applicable laws, contractual requirements, Company policies, and local content commitments.
The position supports the safe, compliant, and commercially sound delivery of O&M services, both onshore and offshore.
2 Core Responsibilities
2.1 Legal and Regulatory Support:
- Provide practical legal advice on day-to-day FPSO O&M activities, including marine, offshore, employment, immigration, tax, customs, HSE, and regulatory matters.
- Monitor changes in applicable laws, regulations, permits, and industry requirements affecting the Company’s operations.
- Support compliance with petroleum legislation, offshore safety requirements, environmental obligations, and maritime regulations.
- Coordinate with external legal counsel, regulators, government authorities, and relevant industry bodies as required.
- Support the management of disputes, claims, investigations, audits, and litigation matters.
- Maintain legal registers, corporate records, licenses, permits, powers of attorney, and statutory filings.
- Support implementation of Company policies relating to compliance, ethics, anti-bribery and corruption, sanctions, data protection, and whistleblowing.
2.2 Contracts and Commercial Management:
- Draft, review, negotiate, and administer contracts, including:
- Subcontract agreements
- Confidentiality agreements, memoranda of understanding, and letters of intent.
- Ensure that contractual terms appropriately address risk allocation, liability, indemnities, insurance, warranties, performance obligations, payment terms, change orders, and dispute resolution.
- Provide contractual advice to Operations, Supply Chain, Finance, HR, IT, and Project teams.
- Maintain a contract register and ensure that key obligations, milestones, expiry dates, notices, and renewal requirements are monitored.
- Lead or support the preparation and review of contractual correspondence, notices, claims, variation requests, and responses to client or contractor claims.
- Support tendering and procurement processes by reviewing bid documents, contractual terms, and commercial risk exposure.
- Assist management in identifying contractual risks and opportunities and propose practical mitigation measures.
- Support the administration of joint ventures, shareholders, or partnership arrangements where applicable.
2.3 Local Content Management:
- Develop, implement, and maintain the Company’s Local Content Plan in accordance with applicable local content laws, contractual commitments, and client requirements.
- Monitor and report local content performance, including national workforce participation, local procurement, training, technology transfer, and supplier development.
- Work closely with HR to support nationalization plans, workforce development, succession planning, and training initiatives for local employees.
- Work with Supply Chain and Operations teams to identify opportunities for qualified local suppliers and service providers.
- Support the prequalification, assessment, development, and monitoring of local vendors, while ensuring compliance with Company quality, HSE, technical, and ethical standards.
- Prepare local content reports and submissions for client, regulators, and other stakeholders.
- Maintain accurate local content data, records, supporting documentation, and performance dashboards.
- Engage with government authorities, local content agencies, industry associations, educational institutions, and local communities where required.
- Identify risks to local content compliance and develop corrective action plans to address performance gaps.
2.4 O&M Contract Management and Client Contractual Compliance
- Manage and monitor the Company’s Operations and Maintenance (O&M) contracts with Clients throughout their lifecycle.
- Ensure that all contractual obligations, deliverables, milestones, reporting requirements, performance standards, and notice provisions are clearly understood and fulfilled.
- Maintain a comprehensive obligations matrix and contract compliance tracker covering the Company and client responsibilities.
- Coordinate with Operations, HSE, Supply Chain, Finance, HR, IT, and Technical teams to ensure timely delivery of contractual commitments.
- Monitor compliance with key performance indicators, availability targets, production support requirements, maintenance obligations, staffing commitments, and service-level requirements.
- Review and support the preparation of client reports, contractual deliverables, performance certificates, meeting minutes, and management reports.
- Identify potential non-compliances, delays, deviations, and contractual risks at an early stage and coordinate appropriate corrective actions.
- Prepare and manage contractual notices, including notices of delay, variation, change, disruption, non-conformance, force majeure, and other relevant events.
- Support the preparation, evaluation, negotiation, and administration of contract variations, change orders, extensions, claims, and amendments.
- Ensure that client instructions and decisions are properly documented, reviewed, approved, and implemented in accordance with the contract.
- Monitor client obligations and dependencies that may affect MODEC’s performance, including access, approvals, information, permits, budgets, materials, and asset condition.
- Maintain accurate records of contractual correspondence, approvals, instructions, claims, variations, meeting minutes, and supporting documentation.
- Support regular contract review meetings with clients and ensure that agreed actions are tracked through to completion.
- Escalate significant contractual, operational, compliance, or commercial issues to senior management in a timely manner.
- Promote consistent contract-management practices and lessons learned across the O&M organization.
2.5 Stakeholder and Government Relations
- Support constructive relationships with relevant ministries, petroleum authorities, regulators, local content agencies, and other government stakeholders.
- Represent the Company in meetings with clients, partners, authorities, and suppliers, as delegated.
- Support preparation of briefing notes, presentations, correspondence, and reports for senior management.
- Assist in managing sensitive legal, contractual, regulatory, and stakeholder issues with appropriate confidentiality.
2.6 Governance, Reporting and Continuous Improvement
- Prepare regular legal, contractual, and local content status reports for management.
- Maintain a risk register covering key legal, contractual, regulatory, and local content risks.
- Support internal and external audits, including client audits, regulatory inspections, and local content verification exercises.
- Ensure lessons learned from claims, disputes, audits, and operational events are incorporated into contracts, procedures, and training.
- Promote a culture of compliance, integrity, accountability, and continuous improvement throughout the organization.
3 HSSEQ Requirements and Code of Conduct:
3.1 HSSEQ: Complies with the MODEC Group HSSEQ Code of Conduct as described in the HSSEQ Policies, the 14 HSSEQ Standards, and the HSSEQ Procedures to always protect people and the environment. Has a duty of care to ensure that all personnel work in a manner that is not harmful to their own health and safety and the health and safety of others.
3.2 Compliance: Complies with the MODEC Group Policy Code of Business Conduct and Ethics and always expected training.
3.3 Make manpower and financial resources available for the purposes of technical integrity assurance and, where appropriate “added value” training in safety and environmental protection.
3.4 Ensure that Emergency Response capabilities are constantly maintained. Member of the Emergency Response Group.
3.5 Encourage employee participation in areas of safety, environmental protection and technical integrity as per requirements of the Safety Case.
3.6 Ensure all resources are available where required to efficiently ensure continued technical integrity of the MODEC FPSO/FSO.
3.7 Ensure that a communication forum for HSSEQ exists.
3.8 Ensure that training resources for HSSEQ are available.
3.9 Encourage behavior observation systems.

6.1 Create procedures that enhance controls and management of numerous labor lawsuits, which require time and careful preparation.
6.2 Map third-party employees working for MOSEN full time and propose strategies for mitigation of labor litigation, which depends on inputs from many company divisions in a highly dynamic environment.
7 Qualifications & Experience
7.1 Educational Qualification: Master’s degree in Law, Energy Law, International Business Law, or Contract Management is an advantage.
7.2 Certification(s): Professional legal qualification or admission to a recognized bar is preferred. *
7.3 Training(s): Comply with the Training Matrix and Regulatory Required by Modec Training Management Procedure, available in the Integrated Management System (IMS).
7.4 Relevant Experience: Minimum 8–12 years of relevant experience in legal, contracts, commercial, or local content roles.
